General Provisions

  1. HelloTalk hereby specially reminds you that before becoming a HelloTalk Member, you should carefully read the Membership Service Agreement (hereinafter referred to as the “Service Agreement”) and ensure that you fully understand all terms herein, including clauses that exempt HelloTalk from liability and clauses that limit members’ rights. Such exemption and limitation clauses will be highlighted in bold, underlined, or otherwise marked for your attention. Please read carefully and decide whether to accept this Service Agreement. Unless you accept all terms of this Service Agreement, you are not entitled to use the related services. Your use of the services shall be deemed as your acceptance of and agreement to be bound by all terms of this Service Agreement.
  2. This Service Agreement constitutes an integral and inseparable part of the HelloTalk Terms of Service (https://www.hellotalk.com/terms-of-service). This Service Agreement governs the respective rights and obligations between HelloTalk and HelloTalk Members with respect to “HelloTalk Membership” services. HelloTalk Members shall also be bound by the HelloTalk Terms of Service, this Service Agreement, and all applicable HelloTalk community rules.
  3. HelloTalk may modify or amend the relevant terms of this Service Agreement from time to time based on its overall planning. Once any modification or amendment is made, HelloTalk will publish such changes on the relevant service pages. If a Member does not agree to the changes, the Member may cancel the obtained services and stop using them. Continued use of the membership services shall be deemed as acceptance of all modifications to this Service Agreement.

I. Service Description

  1. “HelloTalk Member” refers to an individual or a single entity that uses the membership services provided by HelloTalk (hereinafter referred to as a “Member”).
  2. “HelloTalk Membership Services” refer to the paid value-added services provided by HelloTalk to Members. Users may enjoy the membership services only after paying the relevant fees and becoming Members.
  3. HelloTalk reserves the right to supervise, remind, and inspect Member-related activities. If a Member’s conduct violates applicable laws or regulations, HelloTalk community guidelines, or this Service Agreement, HelloTalk has the right to immediately suspend services and pursue liability accordingly.

II. Service Fees

  1. Membership services are paid services provided by HelloTalk. Users must pay the applicable fees in accordance with the pricing standards to activate membership services. HelloTalk may offer different discounts based on purchase methods and quantities. Specific discount information shall be subject to what is displayed on the membership payment page.
  2. HelloTalk may adjust membership service fees from time to time based on actual circumstances. Adjusted fees will be displayed on the membership payment page and shall apply upon payment. Members who purchased services at the original price will not be affected during their valid membership period and are not required to pay any price difference. Once membership activation or renewal is completed, refunds, transfers, or cancellations are not permitted.

III. Service Content

HelloTalk may adjust existing membership services or introduce new services at any time based on product changes, service updates, or user needs. The specific types and content of services shall be subject to what is displayed on the membership pages.

IV. Activation and Termination of Services

  1. A HelloTalk user obtains membership qualification after completing registration, logging in, and paying membership fees through official HelloTalk payment channels.
  2. Information and materials submitted during membership activation must be true and valid. Members shall promptly update their personal information if changes occur. Any consequences arising from failure to update information shall be borne by the Member.
  3. Users acknowledge and agree that they are fully responsible for all actions related to account registration, service activation, and use.
  4. Due to the nature of internet services, HelloTalk reserves the right to suspend or terminate services and shall notify users in accordance with the law while protecting their legitimate rights.

V. Rights Granted to You by HelloTalk

  1. Users must complete membership activation and payment through official HelloTalk channels and shall not obtain membership or services for themselves or others through the following means: (1) For commercial, profit-making, or business purposes; (2) Through robots, spiders, crawlers, spamming software, or any automated programs; (3) Through improper means or in violation of the principle of good faith; (4) Through methods not designated by HelloTalk; (5) Through infringement of HelloTalk’s or others’ legitimate rights; (6) Through other methods that violate applicable laws, administrative regulations, or national policies.
  2. If a user engages in any of the above prohibited conduct, HelloTalk reserves the right to take one or more measures, including deducting improper gains, suspending or terminating account usage, suspending or terminating part or all membership services, banning the HelloTalk account, and pursuing legal liability.
  3. Members may enjoy membership value-added services during the valid membership period. Such services are for personal use only and shall not be used for third parties, commercial purposes, profit-making purposes, or other activities that infringe HelloTalk’s legitimate rights.
  4. Members shall enjoy membership rights while complying with all HelloTalk platform rules, including but not limited to this Service Agreement, the HelloTalk Terms of Service, and other published service rules.
  5. Members shall bear legal responsibility for transmitting and publishing information on HelloTalk and for using both free and membership services, in compliance with applicable laws and regulations of all relevant jurisdictions.
  6. Members shall properly safeguard their account information and passwords and shall not gift, lend, transfer, or sell them. HelloTalk shall not be liable for losses caused by password leakage or improper account management not attributable to HelloTalk.
  7. If HelloTalk discovers or receives reports of Member violations, HelloTalk may independently determine and take actions such as deleting, blocking, or disconnecting relevant information. Depending on the nature of the violation, HelloTalk may suspend or terminate services, terminate account usage, deduct fees, and pursue legal liability. Any resulting losses shall be borne by the Member.
  8. Members who object to enforcement measures may submit feedback through official HelloTalk complaint channels.

VI. Rights Granted by You to HelloTalk

  1. HelloTalk shall ensure that Members complying with this Service Agreement, the HelloTalk Terms of Service, and platform rules can normally use membership services and shall promptly resolve technical issues.
  2. HelloTalk places great importance on personal information protection. Member data shall be handled in accordance with applicable laws and the HelloTalk Privacy Policy (https://www.hellotalk.com/privacy-policy).
  3. HelloTalk will notify Members through the HelloTalk system.
  4. HelloTalk shall not be liable for service interruptions caused by force majeure but will endeavor to minimize impact.
  5. HelloTalk shall not be liable for account password leakage caused by Members and may take necessary measures to prevent misuse.
  6. HelloTalk may cancel membership or suspend services without compensation if Members violate laws, harm HelloTalk or others, or breach the HelloTalk Terms of Service.
  7. When communicating with customer service representatives, you agree to remain respectful. Threatening, harassing, or offensive behavior may result in immediate account termination.
  8. You understand and agree that HelloTalk may monitor or review content and remove content deemed in violation of this Agreement or harmful to service reputation.
  9. HelloTalk may revoke improperly obtained membership benefits, reclaim rewards, suspend services, ban accounts, and pursue legal liability if fraudulent or unfair conduct is discovered.

VII. Purchases

  1. General Matters

HelloTalk may offer in-app purchases through App Store, Google Play Store, direct billing, or authorized payment platforms. By confirming purchase, you authorize HelloTalk or third parties to charge your payment method.
  1. Auto-Renewal; Automatic Payment

Subscriptions automatically renew unless canceled. Disputes should be directed to HelloTalk support or the payment provider. Deleting the app or account does not cancel subscriptions.

  1. Virtual Items

Virtual items are limited, personal, non-transferable licenses. Purchases are final and non-refundable.
  1. Refunds

Refunds are generally not supported except where required by law or if HelloTalk ceases services. Platform fees and additional charges may apply.
  1. Pricing

Pricing varies by region, subscription duration, and promotions. HelloTalk may test new pricing and payment methods.

VIII. Supplementary Provisions

  1. Any rules or specifications published by HelloTalk regarding membership services form an integral part of this Service Agreement.
  2. Copyright of this Service Agreement belongs to HelloTalk. HelloTalk reserves the right to modify and interpret this Agreement within the scope of the law.
  3. HelloTalk may continuously improve this Service Agreement to maintain membership order.
